Welcome to COCOCHOCO Official Shop! The terms “we”, “us” and “our” refer to COCOCHOCO Official Shop operated by SPEKTRE s.r.o. We operate this store and website, including all related information, content, features, tools, products and services in order to provide you with a curated shopping experience (the “Services”). Our store is powered by Shopify, which enables us to provide the Services to you.

These Terms of Service (the “Terms”), together with any policies referenced herein, describe your rights and responsibilities when you use the Services. By visiting, interacting with or using our Services, you agree to be bound by these Terms and our Privacy Policy. If you do not agree, please do not use or access the Services.

We strive to present products accurately; however, colors or appearance may vary due to device settings. We do not warrant that product appearance or quality will meet expectations. Descriptions may change without notice. We may discontinue products or limit quantities to any person, region or jurisdiction at our discretion.

SECTION 3 – ORDERS

When you place an order, you make an offer to purchase. We may accept or decline any order in our discretion. Your order is accepted only when we confirm acceptance and process your payment. Please review carefully before submitting; cancellation requests may not be accommodated after acceptance. If we do not accept, adjust, or cancel an order, we will attempt to notify you via the contact details provided. Purchases are subject to our Refund Policy. You warrant your purchases are for personal/household use and not for commercial resale or export.

SECTION 4 – PRICES AND BILLING

Prices, discounts and promotions may change without notice. The price charged is the price in effect when the order is placed and appears in your order confirmation. Unless stated otherwise, prices exclude taxes, shipping, handling and any customs/import charges. Prices online may differ from other channels. Promotions may be governed by separate terms. You agree to provide accurate purchase and payment information and to keep it up to date. You warrant you are authorized to use the chosen payment method and will pay all charges including applicable taxes and shipping.

SECTION 5 – SHIPPING AND DELIVERY

Delivery times are estimates and not guaranteed. We are not liable for delays caused by carriers, customs, or events beyond our control. Title and risk of loss pass to you upon our transfer of products to the carrier.

The Services (including trademarks, text, images, graphics, video, audio and their design/arrangement) are owned by COCOCHOCO Official Shop, its affiliates or licensors and protected by applicable IP laws. You may use the Services for personal, non-commercial purposes only. No license is granted except as expressly provided. COCOCHOCO Official Shop names, logos and designs are trademarks of COCOCHOCO Official Shop or its affiliates/licensors. Shopify names and marks are trademarks of Shopify. Other names and logos are the property of their respective owners.

SECTION 7 – OPTIONAL TOOLS

We may provide access to third-party tools “as is” and “as available” without warranties or endorsements and with no liability arising from their use. Your use is at your own risk and subject to the providers’ terms. Future features are also part of the Services and subject to these Terms.

The Services may contain materials or links to third-party sites. We are not responsible for their content, accuracy, policies, or transactions. Review third-party terms before engaging. Complaints or claims regarding third-party products/services should be directed to the third party.

SECTION 9 – RELATIONSHIP WITH SHOPIFY

Our store is powered by Shopify. However, sales you make in our store are with SPEKTRE s.r.o. (COCOCHOCO Official Shop), not with Shopify. You acknowledge Shopify is not responsible for any aspect of sales between you and us and you release Shopify and its affiliates from claims related to your purchases and transactions with us.

SECTION 10 – PRIVACY POLICY

Personal information collected through the Services is governed by our Privacy Policy. Because the Services are hosted by Shopify, certain data is processed by Shopify per its policies. Information you submit may be transmitted to Shopify and third parties (including cross-border processing) to provide the Services. See our Privacy Policy for details.

If you submit feedback, ideas, reviews or similar content (“Feedback”), you grant us a perpetual, worldwide, sublicensable, royalty-free license to use and display such Feedback for any purpose. Sections that by nature should survive will continue to apply (including IP, Feedback, Disclaimers, Limitation of Liability, Indemnification, Severability, Waiver/Entire Agreement, Assignment, Governing Law, Privacy).

To the fullest extent permitted by law, in no event shall COCOCHOCO Official Shop (SPEKTRE s.r.o.), our directors, officers, employees, affiliates, agents, contractors, service providers or licensors, or Shopify and its affiliates, be liable for any indirect, incidental, special, consequential, punitive or similar damages (including lost profits, revenue, savings, data, replacement costs) arising from your use of the Services or products, even if advised of the possibility. Where limitations are not permitted, liability is limited to the maximum extent allowed by law.

SECTION 17 – INDEMNIFICATION

You agree to indemnify and hold harmless SPEKTRE s.r.o., Shopify, and their affiliates, officers, directors, employees and agents from losses, liabilities and costs (including reasonable attorneys’ fees) arising from your breach of these Terms, violation of law or third-party rights, or your use of the Services. We will notify you of indemnifiable claims and may control the defense at your expense.

SECTION 18 – SEVERABILITY

If any provision is unlawful or unenforceable, it shall be enforced to the maximum extent possible and the remainder of the Terms will continue in full force.

SECTION 19 – WAIVER; ENTIRE AGREEMENT

Our failure to enforce any right is not a waiver. These Terms and the policies referenced herein constitute the entire agreement between you and us regarding the Services and supersede prior agreements.

You may not assign these Terms without our prior written consent. We may assign or transfer these Terms without notice.

SECTION 21 – GOVERNING LAW

These Terms and any disputes arising out of or relating to them or the Services are governed by the laws of the Slovak Republic. You and SPEKTRE s.r.o. consent to the exclusive jurisdiction of the competent courts of the Slovak Republic (venue: Bratislava), unless mandatory consumer law grants you additional rights in your country of residence.
